Welcome, and thank you for your interest in The Wise Circle (“The Wise Circle,” “we,” “us,” or “our”) and our website, along with any related pages, forms, applications, content, and services we provide (collectively, the “Service”). These Terms of Service (“Terms”) are a legally binding agreement between you and The Wise Circle governing your access to and use of the Service.
Please read these Terms carefully. By clicking “I Accept,” creating an account, enrolling in a course, joining a waitlist, or otherwise accessing or using the Service, you confirm that you have read and understood these Terms, and you agree to be bound by them. If you do not agree, you may not use the Service.
These Terms incorporate our Privacy Policy by reference. If there is a conflict between these Terms and the Privacy Policy regarding personal data, the Privacy Policy will govern.
1. Service Overview
The Wise Circle is a cohort-based learning platform offering live sessions, educational content, community-based learning, and (where applicable) access to recordings and materials. Courses may be delivered by The Wise Circle or by independent instructors and facilitators who teach through the platform (“Instructors”).
2. Eligibility
You must be at least 13 years old to use the Service. If you are under the age of 18 (or the age of legal majority in your jurisdiction), you may use the Service only with the consent of a parent or legal guardian who agrees to these Terms.
By using the Service, you represent and warrant that you meet these eligibility requirements, that you have not been previously suspended or removed from the Service, and that your registration and use of the Service comply with applicable laws and regulations.
If you are using the Service on behalf of a company, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms, and “you” includes both you and that entity.
3. Accounts and Registration
To access certain features, you may need to create an account. You agree to provide accurate, complete, and current information and to keep your account information updated.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You may not share your account, credentials, or access to paid materials with others. We may suspend or terminate accounts if we reasonably believe credentials have been shared or misused.
If you believe your account has been compromised, you must notify us promptly at info@thewisecircle.com.
We may, in our discretion, refuse, reclaim, or reassign usernames without liability.
4. Purchases, Payments, and Taxes
Certain parts of the Service require payment, including paid courses or subscriptions. Before completing a purchase, you will be shown the applicable fees and any relevant purchase terms. Unless stated otherwise at checkout or in a published refund policy, all fees are non-refundable to the fullest extent permitted by law.
Prices, promotions, and availability may change at any time. Where required, we will provide notice of material changes before they apply to you. Prices may exclude taxes; you are responsible for any applicable taxes, duties, or governmental charges.
Payments are processed through third-party payment processors. We do not store full payment card details on our systems.
If a payment is declined, reversed, or charged back, we may suspend access to paid content until the issue is resolved. You are responsible for any fees incurred due to chargebacks or collection efforts, to the extent permitted by law.
5. Refunds and Course Policies
Because cohort-based learning often involves limited seats and scheduled delivery, refunds may be restricted. Refund eligibility, if any, will be stated at checkout, in a course page, or in our published refund policy. If a refund policy applies to your purchase, it is incorporated into these Terms by reference.
We may cancel, reschedule, or modify course formats, schedules, instructors, or delivery methods for operational reasons. If we cancel a paid course before it begins, we will provide a remedy consistent with the policy shown at checkout or our refund policy.
6. Limited License and Restrictions
Subject to your compliance with these Terms, The Wise Circle grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal, non-commercial use.
Except to the extent prohibited by applicable law, you may not copy, reproduce, distribute, publicly display, publicly perform, sell, resell, rent, lease, share access to, or otherwise exploit any portion of the Service or any materials made available through it, including course videos, recordings, templates, downloads, slides, and community content (collectively, “Materials”). You may not circumvent security features, attempt to gain unauthorized access, scrape content, reverse engineer any part of the Service, or use the Service to build or train competing products.
7. Course Content, Recordings, and Content Protection
Course content is provided for enrolled participants only. You agree not to share, distribute, post, publish, resell, sublicense, or otherwise make available any Materials, access links, recordings, or login credentials to any third party. You also agree not to make unauthorized recordings, screenshots, screen captures, or live broadcasts of sessions or content, including rebroadcasting via any third-party platforms.
Violations may result in immediate termination of access without refund and may expose you to legal claims from The Wise Circle and/or Instructors.
Live sessions may be recorded. By participating, you consent to the recording of your audio, video, name display, chat messages, and interactions, and to the use of recordings for course delivery to enrolled participants and internal operational purposes, subject to our Privacy Policy.
8. Intellectual Property
The Service, including its software, interface, designs, branding, and Materials, is owned by or licensed to The Wise Circle and is protected by intellectual property laws. Except as expressly permitted in these Terms, you may not use The Wise Circle’s name, logos, trademarks, or brand assets without prior written permission.
Instructors may own certain course materials they provide. Your access to Instructor content is licensed, not sold, and is subject to these Terms and any course-specific terms presented to you.
9. User Content
The Service may allow you to submit content such as comments, messages, assignments, feedback, or other materials (“User Content”). You retain ownership of your User Content as between you and The Wise Circle.
By submitting User Content through the Service, you grant The Wise Circle a worldwide, non-exclusive, royalty-free, fully paid, transferable, sublicensable license to host, store, reproduce, display, perform, distribute, and otherwise use your User Content to operate, provide, improve, and promote the Service, and to administer courses, including sharing within course cohorts and communities as intended by the Service’s functionality.
You represent and warrant that you have the right to submit the User Content, that it does not violate any laws or third-party rights, and that it is not unlawful, harassing, defamatory, or otherwise objectionable.
We may remove User Content at any time for any reason, including if we believe it violates these Terms.
10. Communications
By using the Service, you consent to receive communications from us electronically, such as account notifications, course updates, confirmations, and administrative messages. Where we send marketing communications, you may opt out using the unsubscribe mechanism provided, but you may still receive transactional or service-related messages.
If you provide a phone number, you may receive operational messages (and, where permitted and you consent, marketing messages). Carrier charges may apply.
11. Prohibited Conduct
You agree not to use the Service to engage in illegal activity or violate applicable laws; harass, threaten, or harm others; infringe intellectual property or privacy rights; share accounts or paid access; upload malware; disrupt the Service; attempt unauthorized access; impersonate others; collect personal data about others without consent; or otherwise misuse the Service.
12. Third-Party Services
The Service may integrate with third-party services such as video conferencing providers, payment processors, analytics tools, and social platforms. We do not control third-party services and are not responsible for their content, policies, or practices. Your use of third-party services is subject to their own terms and privacy policies.
13. Termination
We may suspend or terminate your access to the Service at any time if we reasonably believe you violated these Terms, engaged in fraud or misuse, or created risk or legal exposure for us or others. You may stop using the Service at any time.
Upon termination, your license ends and you must stop using the Service and Materials. Sections that by their nature should survive termination will survive, including intellectual property, restrictions, disclaimers, limitation of liability, indemnity, and dispute provisions.
14. Disclaimers
The Service and all Materials are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee outcomes, results, certifications, job placement, business performance, or any specific benefit from participation. Your use of the Service and reliance on any content is at your own risk.
15. Limitation of Liability
To the fullest extent permitted by law, The Wise Circle and its affiliates, officers, employees, agents, and Instructors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, goodwill, data, or other intangible losses arising out of or relating to your use of the Service.
To the fullest extent permitted by law, our aggregate liability for all claims relating to the Service will not exceed the greater of the amount you paid to us in the twelve months prior to the event giving rise to the claim or AED 500.
Some jurisdictions do not allow certain limitations, so these limits may not apply to you in full.
16. Indemnity
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless The Wise Circle and its affiliates, officers, employees, agents, and Instructors from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use or misuse of the Service, your violation of these Terms, your violation of any law, or your infringement of third-party rights.
17. Disputes and Governing Law
These Terms are governed by the laws of Dubai, UAE, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the courts located in Dubai, UAE, unless applicable law requires otherwise.
18. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you, such as by posting updated Terms on the website and updating the “Last Updated” date. Continued use of the Service after the effective date of changes constitutes acceptance of the updated Terms.
19. Miscellaneous
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign these Terms as part of a merger, acquisition, or asset sale.
